Terms of Service for Manzoni

These Terms of Service (the "Terms") govern your access to and use of Manzoni, an AI-powered word processor developed and operated by Gems Platforms, Inc. ("Gems" or "we"). By accessing or using Manzoni, you acknowledge that you have read, understood, and agree to be bound by these Terms. Your continued use of the service constitutes acceptance of all provisions herein.

1. Service Overview

Manzoni is a privacy-first word processing application designed to assist users in creating, editing, and managing documents. The service operates entirely on the user's local device. No personal data, documents, or user-generated content is transmitted to, processed on, or stored outside of the user's device.

2. Data Collection and Processing

Gems does not collect, transmit, or store any user-generated content—including text, drafts, or document metadata—on any server or third-party platform. The only identifiable information stored by Gems is strictly limited to:

A hashed device identifier, derived from a unique, anonymized device fingerprint, which is used solely to track license activation and device registration;
The user email address, provided during license activation, for administrative and support purposes.

All such data is stored solely within the European Union, specifically in a Firestore database hosted by Google Firebase, and is subject to the applicable data protection laws, including the General Data Protection Regulation (GDPR).

Gems Platforms, Inc. does not use, sell, or share this information with any third party for marketing, advertising, or analytics purposes.

3. User Obligations

By using Manzoni, you agree to the following obligations:

Compliance with Laws: You agree to use Manzoni in compliance with all applicable laws, regulations, and international standards, including but not limited to intellectual property, data protection, and cybersecurity laws.
Proper Use: You shall not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or functionality of Manzoni.
License Validation: Each purchased license key has lifetime validity and can be active on one device at a time. Use of an expired or revoked license key is unauthorized and may result in immediate suspension of premium access.
No Unauthorized Modifications: You shall not modify, alter, or customize Manzoni in any way that affects its core functionality or security.
Device Integrity: You are responsible for maintaining the integrity and security of your device, including the operating system and local storage environment, to prevent unauthorized access or tampering.

4. Acceptable Use

You agree that the use of Manzoni shall be restricted to the following acceptable purposes:

Creating, editing, and formatting documents for personal, professional, or academic use;
Using the AI features for content generation and correction;

You agree not to use Manzoni for any of the following purposes:

Engaging in illegal, fraudulent, or harmful activities;
Spreading malware, viruses, or other digital threats;
Using the service to generate or distribute content that violates intellectual property rights, defames individuals, incites violence, or promotes illegal activities;

5. Restrictions and Prohibitions

Users are prohibited from:

Attempting to bypass any security or licensing mechanism;
Using Manzoni in connection with unauthorized third-party systems or networks;
Accessing or attempting to access any portion of the service beyond your authorized license scope;

Any violation of these restrictions may result in immediate termination of your access to the service, without prior notice.

6. Liability

Gems Platforms, Inc. shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of Manzoni, including but not limited to:

Data loss or corruption due to user error or device malfunction;
Failure to meet content or formatting requirements;
Issues related to AI-generated text, including inaccuracies, bias, or hallucinations;
Any unauthorized access or security breach resulting from user negligence or failure to maintain device security.

Under no circumstances shall Gems Platforms, Inc.'s total liability exceed the amount of fees paid by the user for the license in the most recent billing cycle. This limitation applies regardless of the form of action or theory of liability, including negligence.

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Dispute Resolution

These Terms are governed by Delaware law. Any disputes will be resolved in Delaware state or federal courts.

8. Term and Termination

These Terms shall take effect upon acceptance and remain in full force and effect until terminated by either party in writing. Either party may terminate these Terms upon 30 days' prior written notice if the other party materially breaches any provision and fails to cure the breach within the notice period.

Upon termination, access to Manzoni shall be suspended immediately.

9. Amendments

Gems Platforms, Inc. reserves the right to amend these Terms at any time. All amendments will be posted on this page with an effective date, and continued use of Manzoni after such posting constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws rules.
